Terms of Service

1. Acceptance of Terms
By accessing or using the Cadynce web application and related services (the "Service") provided by Cadynce Software ("Cadynce," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
Cadynce is a business operating system platform that provides tools for team meetings, goal tracking, scorecards, issue management, vision planning, organizational structure, and related features. The Service is designed for leadership teams running any business operating framework.
3. Accounts and Registration
To use the Service, you must create an account with a valid email address and password, or sign in through a supported authentication provider (e.g., Google). You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Notifying us immediately of any unauthorized access
You must be at least 16 years old to use the Service. Accounts may be removed if we determine they are being used in violation of these Terms.
4. Organizations and Teams
The Service operates on a per-organization basis. The account that creates an organization is designated as the "owner." Owners and admins can invite members, assign roles, and manage settings. Roles include owner, admin, member, and viewer, each with different permission levels.
Organization owners are responsible for managing their team's access and ensuring their members comply with these Terms.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorized access to any part of the Service, other accounts, or systems
- Interfere with or disrupt the integrity or performance of the Service
- Upload or transmit malware, viruses, or harmful code
- Use the Service to send unsolicited communications (spam)
- Reverse engineer, decompile, or disassemble any aspect of the Service
- Resell, sublicense, or redistribute access to the Service without our written consent
- Use automated tools to scrape or extract data from the Service
6. Your Data
You retain ownership of all data you enter into the Service ("Your Data"). By using the Service, you grant us a limited license to store, process, and display Your Data solely for the purpose of providing the Service to you and your organization.
We do not access, use, or share Your Data for advertising or any purpose unrelated to delivering the Service. Your Data is isolated to your organization via row-level security and is not visible to other organizations.
You may export Your Data at any time using the built-in export features (CSV export for goals, scorecard, and to-dos).
7. Pricing and Payments
The Service offers a Free plan (up to 10 seats) and a Pro plan ($79/month, unlimited seats). Pro subscriptions include a 60-day free trial. Pricing is subject to change with 30 days' notice.
Pro subscriptions are billed monthly via Stripe. Your first payment is charged after the 60-day trial period ends. By subscribing, you authorize us to charge your payment method on a recurring basis. You may cancel your subscription at any time through the billing settings or Stripe Customer Portal. Cancellation takes effect at the end of the current billing period.
We do not offer refunds for partial billing periods. If a payment fails, we will notify you and may suspend access to Pro features until the payment issue is resolved.
8. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss resulting from downtime.
9. Intellectual Property
The Service, including its design, code, features, logos, and documentation, is the intellectual property of Cadynce Software and is protected by applicable laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.
10. Termination
You may terminate your account at any time by deleting your organization through settings or contacting us. We may suspend or terminate your access if you violate these Terms, with or without notice.
Upon termination, your right to use the Service ceases immediately. We may delete your data after a reasonable retention period following account termination.
11. Limitation of Liability
To the maximum extent permitted by law, Cadynce Software shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.
Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
12. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
13. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised effective date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the United States. Any disputes shall be resolved in the courts of competent jurisdiction.
